1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you," or "your"), and VinaCode Solutions ("we," "us," or "our"), concerning your access to and use of our software development services, IT consulting, and associated deliverables.

By engaging our technical services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using our services and must discontinue engagement immediately.

2. Software Development Services

VinaCode Solutions specializes in custom software development, digital transformation, and IT infrastructure management for international clients. The specific scope, timeline, and deliverables of any project will be outlined in a separate written Statement of Work (SOW) or Master Services Agreement (MSA) executed by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our general service offerings at any time without notice. Any modifications to active projects will be subject to mutual agreement via documented change orders.

3. Intellectual Property Rights

Unless otherwise indicated in a specific project agreement, all source code, design assets, and compiled software created during the execution of our services are the proprietary property of VinaCode Solutions until all outstanding invoices associated with the project have been paid in full.

Upon receipt of full payment, intellectual property rights for the custom deliverables will transfer to the Client as specified in the governing SOW. We retain the right to reuse generalized knowledge, open-source libraries, and standard programming techniques across other engagements.

4. Client Representations

By utilizing our development services, you represent and warrant that:

• You have the legal capacity to enter into these binding terms.
• You will provide VinaCode Solutions with timely access to necessary systems, materials, and feedback required to deliver the agreed-upon software solutions.
• Any materials, logos, or data you provide do not infringe upon the intellectual property rights of any third party.
• You will use the delivered software products in compliance with all applicable local, national, and international laws.

5. Governing Law and Dispute Resolution

These Terms of Service and your engagement with VinaCode Solutions are governed by and construed in accordance with the laws of Vietnam. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation.

If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in Ho Chi Minh City, Vietnam, applying international commercial standards as appropriate for our global client base.
